Article 1 - Legal Information

These Terms and Conditions of Sale govern the sale and use of the Vibecallin SaaS platform, published by OLYMO, a simplified joint-stock company (SAS) with share capital of €3, registered office at Chemin des Imprimeurs, 69250 Montanay, France, SIREN 994 392 595, SIRET 994 392 595 00017, and intra-community VAT number FR27994392595.

OLYMO is represented by Mr. Milo Kowalska, President. Contact: vibecallin@gmail.com. Hosting provider: OVH.

Article 2 - Purpose

These Terms define the conditions under which OLYMO provides access to its Vibecallin SaaS platform (the "Platform" or the "Service"), which enables lead management through automated email campaigns, intelligent workflows, AI calls, and statistical analysis tools.

Article 3 - Service Description

3.1 Core Features

Vibecallin provides a lead management system (CRM), automated email campaign workflows, AI campaign optimization, progressively available AI automated calls, lead campaign creation, customized lead-analysis tools, detailed dashboards and statistics, and browser access through the Platform URL.

3.2 Credit-Based Operation

The Service uses credits. Each action consuming external resources, including API calls or third-party services such as Apollo GPT, deducts credits from the Customer's account.

3.3 Technical Requirements

A stable Internet connection, a recent browser (Chrome, Firefox, Safari, or Edge), and JavaScript enabled are required.

3.4 Updates

As a web application, Platform updates and improvements are deployed automatically without Customer action. OLYMO endeavors to inform Customers of significant changes.

Article 4 - Offers and Pricing

4.1 Free Plan

Price: €0. The Free Plan includes 100 credits granted once upon registration and not renewed, permanent access to the Platform, and access to all Platform features within the available credit limit.

4.2 Paid Plan - Monthly Subscription

Price: €60 including VAT per month. The Paid Plan includes 2,500 credits renewed each month, a monthly commitment automatically renewed, and unlimited access to Platform features within the monthly credit allowance. Renewal is automatic each month unless cancelled under Article 10.

4.3 Additional Credits

Additional credits may be purchased beyond the monthly allocation, according to the price list available on the Platform.

4.4 Price Changes

OLYMO may change its prices at any time. New prices will be sent by email at least 30 days before taking effect. The Customer may cancel their subscription during that period if they reject the new pricing terms.

Article 5 - Order and Subscription

5.1 Ordering Process

Subscription is completed on the Platform by creating a user account, selecting the Free or Paid Plan, entering payment information for the Paid Plan, accepting these Terms through a mandatory checkbox, expressly accepting the waiver of the right of withdrawal for the Paid Plan through a mandatory checkbox, and confirming the order.

5.2 Order Confirmation

An order becomes final once OLYMO receives full payment. The Customer receives a confirmation email at the registration address.

5.3 Immediate Access

Platform access is granted immediately after payment validation for the Paid Plan, or immediately after account creation for the Free Plan.

Article 6 - Payment Terms

6.1 Accepted Payment Methods

Online payments may be made by bank card, including Visa, Mastercard, and American Express, or other payment methods where available.

6.2 Payment Security

All payments are secured and processed by PCI-DSS certified payment providers. OLYMO does not store complete bank-card data on its servers.

6.3 Currency and Invoices

Prices are stated and payable in euros (€). An invoice is automatically issued for each payment, sent by email, and available in the Customer area on the Platform.

6.4 Payment Default

In the event of failed payment or rejected automatic debit, Platform access will be suspended until payment is settled, the account will be downgraded to the Free Plan without new credit allocation, and OLYMO may suspend or delete the account after a formal notice remains ineffective for 30 days.

Article 7 - Delivery and Access to the Service

7.1 Availability of the Service

The Service is available immediately after subscription validation, 24 hours a day, 7 days a week, subject to scheduled or emergency maintenance.

7.2 Availability

OLYMO uses reasonable efforts to ensure optimal Platform availability, but does not guarantee 100% availability due to constraints inherent in the Internet and technical infrastructure.

7.3 Maintenance

Maintenance may temporarily interrupt the Service. OLYMO endeavors to schedule maintenance during low-traffic periods and inform Customers in advance where possible.

Article 8 - Right of Withdrawal

8.1 General Principle

Under the French Consumer Code, consumer Customers have 14 days from subscription to exercise their right of withdrawal without giving a reason or paying a penalty.

8.2 Exception for Immediate Access

As Platform access is provided immediately after subscription, the Customer is expressly invited at checkout to waive the 14-day right of withdrawal by accepting: "I expressly agree to waive my 14-day right of withdrawal in order to access my Vibecallin subscription immediately. I understand that no refund will be possible once the subscription is activated and the Service is accessible."

8.3 Consequences of the Waiver

By accepting this express waiver, the Customer obtains immediate access to the Service, no refund may be made after account activation, and the 14-day right of withdrawal no longer applies.

8.4 Professional Customers

The right of withdrawal does not apply to professional Customers using the Service in the course of their business activity.

Article 9 - Warranties

9.1 Conformity

OLYMO warrants that the Service conforms to the description in these Terms and on the Platform.

9.2 Proper Operation

OLYMO undertakes to provide a working Service allowing the use of the described features. In the event of malfunction, the Customer may contact support at vibecallin@gmail.com.

9.3 Limitation

OLYMO does not guarantee that the Service will be free from error or interruption, that results will meet the Customer's specific expectations, or compatibility with every possible technical environment.

Article 10 - Term and Termination

10.1 Term

The Free Plan remains available without time limit while the Customer account is active. The monthly Paid Plan starts on the subscription date and renews automatically each month unless cancelled as set out below.

10.2 Cancellation by the Customer

The Customer may cancel at any time by emailing vibecallin@gmail.com with the subject "Vibecallin subscription cancellation" and their account identifier. Cancellation takes effect at the end of the current monthly period. The Customer retains Service access and credits until the last paid day. The account is then automatically downgraded to the Free Plan, with no new free credits granted. No refund for the current month is possible after subscription activation, and the Customer keeps access to credits through the end of the paid month.

10.3 Termination by OLYMO

OLYMO may terminate access for a serious breach, including a breach of the Terms of Use, fraudulent use, or non-payment, after a formal notice remains ineffective for 15 days. If OLYMO ceases operating the Service, it will give three months' notice by email and refund Customers on a pro rata basis for unused time.

10.4 Consequences

On termination or expiry, Paid Plan features are disabled. Customer data is kept for 90 days to allow reactivation and may then be permanently deleted. Customers are encouraged to export their data before termination.

Article 11 - Intellectual Property

11.1 OLYMO Ownership

The Vibecallin Platform, its source code, design, databases, algorithms, and all component elements, including texts, images, logos, marks, and interfaces, are OLYMO's exclusive property and protected by copyright, trademark law, and database rights.

11.2 Licence

OLYMO grants the Customer a personal, non-exclusive, non-assignable, non-transferable, revocable licence limited to the Customer's account and terminated upon subscription cancellation or a breach of these Terms.

11.3 Prohibitions

The Customer must not copy, reproduce, modify, adapt, or create derivative works of the Platform; decompile, disassemble, or attempt to extract source code; resell, rent, lend, or distribute Service access; use the Service to develop a competing product; or remove or alter intellectual property notices.

11.4 Customer Data

As controller, OLYMO collects and processes Customer personal data in accordance with the GDPR and the French Data Protection Act.

12.2 Data Collected

Data collected includes identification data (name and email), billing data (address and payment information), Platform usage data (logs and usage statistics), and data entered by the Customer in connection with the Service.

12.3 Processing Purposes

12.5 Privacy Policy

For more information, Customers should consult the Privacy Policy available on the Platform.

Article 13 - Liability and Limitations

13.1 OLYMO Liability

OLYMO uses reasonable efforts to ensure proper Service operation. It is not liable for indirect losses, including lost turnover, customers, opportunity, or commercial harm; malfunction resulting from non-compliant use; interruptions due to force majeure or third parties, including Internet failures and cyberattacks; or the quality, legality, or relevance of Customer data. In all cases, OLYMO's total liability cannot exceed the amounts actually paid by the Customer during the 12 months preceding the event giving rise to liability.

13.2 Customer Liability

The Customer is solely responsible for Service use and results, the legality, quality, and lawfulness of data entered, compliance with laws applicable to their business, including GDPR and anti-spam law, credential security, and actions taken from their account, including fraudulent third-party use. The Customer will indemnify OLYMO against claims or proceedings arising from a breach of these obligations or unlawful Service use.

13.3 Third-Party Services

The Platform may integrate or use third-party services, including external APIs, AI services, and telecommunications services. OLYMO disclaims liability for their operation, availability, and compliance.

Article 14 - Technical Support

14.1 Support Service

14.2 Terms

Support is provided by email only, in French, and requests are handled as soon as possible. Its scope is technical help using the Platform and resolving Service-related problems.

14.3 Exclusions

Support does not cover in-depth training beyond occasional assistance, strategic or marketing advice, or external issues such as the Customer's Internet connection or equipment configuration.

Article 15 - Acceptable Use of the Service

15.1 Customer Commitments

The Customer must use the Service for its intended purpose and comply with applicable laws and regulations.

15.2 Prohibited Uses

It is strictly prohibited to send unlawful unsolicited communications or spam; distribute unlawful, defamatory, abusive, discriminatory, or rights-infringing content; compromise the security, integrity, or availability of the Platform or OLYMO's or third-party systems; circumvent security measures or attempt unauthorized access; or use the Service for fraudulent purposes or contrary to public policy.

15.3 GDPR Compliance

The Customer must comply with the GDPR and applicable data-protection laws, including obtaining required consent for commercial communications, respecting data-subject rights, and maintaining a processing register where required.

15.4 Sanctions

For a breach, OLYMO may immediately suspend or terminate Service access, remove the relevant content, and bring any appropriate legal action.

Article 16 - Force Majeure

OLYMO is not liable for non-performance or delay caused by force majeure. In addition to events recognized by French case law, this includes natural disasters, telecommunications or power failures, major cyberattacks, government action, war, riots, external strikes, and failures of third-party services essential to Platform operation. If force majeure continues for more than 30 days, either party may terminate the contract without compensation.

Article 17 - Changes to the Terms

OLYMO may change these Terms at any time. Customers will be informed by email or Platform notice at least 30 days before changes take effect. The changes apply automatically after that notice period. Customers who reject the changes may cancel under Article 10. Continued use after the effective date constitutes acceptance.

Article 18 - Assignment

The Customer may not assign or transfer rights or obligations under these Terms without OLYMO's prior written consent. OLYMO may freely assign all or part of its rights and obligations, including in a restructuring, merger, or transfer of business. The Customer will be notified by email.

Article 19 - Severability

If one or more provisions are held invalid under a law, regulation, or final decision of a competent court, the remaining provisions remain fully effective. The parties will endeavor to replace the invalid provision with a valid provision consistent with the spirit and purpose of these Terms.

Article 20 - No Waiver

OLYMO's failure to rely on any provision at a given time does not constitute a waiver of its right to rely on it later.

Article 21 - Consumer Mediation

Under Article L.612-1 of the French Consumer Code, OLYMO offers consumer mediation. Consumer Customers may refer a dispute free of charge to Association des Médiateurs Européens (AME CONSO), 197 Boulevard Saint-Germain, 75007 Paris, France, www.ame-conso.fr, contact@ame-conso.fr, within one year of the written complaint sent to OLYMO.
